These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and JO Master Builders LLC d/b/a AutoPlanCore ("AutoPlanCore," "we," "us," or "our"), a Florida limited liability company. By accessing or using any AutoPlanCore services, you agree to be bound by these Terms in their entirety.
1. Services Provided
AutoPlanCore provides AI-powered business automation services including but not limited to: automated proposal generation, 24/7 lead response systems, document intelligence (Company Brain), follow-up email automation, AI scheduling, and business intelligence reporting (collectively, the "Services").
Services are delivered remotely via our secure VPS infrastructure located in Miami, Florida, and may include on-site hardware installation for the Sovereignty tier.

1.2 TradeTrustPro Member Discount
Verified TradeTrustPro contractors receive a 20% discount on the Foundation tier monthly fee for the first 6 months of service. This discount applies only to the monthly recurring fee and not to the setup fee. Discount is verified automatically and cannot be combined with other promotions.
2. Payment Terms
The setup fee is due as follows: 50% upon execution of the Service Agreement, and 50% upon system go-live. Monthly fees are billed on the same calendar date each month beginning on the go-live date.
Payments not received within 5 business days of the due date accrue interest at 1.5% per month (18% per annum). AutoPlanCore reserves the right to suspend services for accounts 10 or more days past due without liability for any resulting business interruption.

- Zelle — Business Zelle transfers accepted
- PayPal — Business PayPal only
- Wire Transfer — Available for annual payments over $5,000
2.2 Annual Payment Discount
Clients who pay annually receive a 15% discount (equivalent to approximately 2 months free). Annual payments are non-refundable after the 30-day satisfaction guarantee period expires.
3. Term and Termination
This agreement begins on the go-live date and continues month-to-month unless an annual plan is selected. Either party may terminate with 30 days written notice sent to the email address on file.
Important: Termination does not relieve the Client of any outstanding payment obligations. Fees accrued through the termination date remain due and payable.
3.1 Immediate Termination
AutoPlanCore may terminate services immediately and without notice if: (a) Client breaches the Acceptable Use Policy; (b) Client engages in fraudulent activity; (c) Client's payment is declined 3 or more consecutive times; (d) Client threatens or engages in harassment of AutoPlanCore staff.
4. Intellectual Property
AutoPlanCore retains all intellectual property rights in the underlying platform, AI models, software, and infrastructure. Custom configurations, trained AI models, and automation workflows built specifically for Client's data become Client's property upon full payment of all outstanding fees.
Client grants AutoPlanCore a limited, non-exclusive license to access, process, and analyze Client's business data solely for the purpose of providing the Services.
5. Limitation of Liability
AutoPlanCore's total liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by Client in the three (3) months immediately preceding the claim.
AutoPlanCore is not liable for: indirect, incidental, special, consequential, or punitive damages; lost profits or revenue; loss of data; business interruption; or the cost of substitute services, even if AutoPlanCore has been advised of the possibility of such damages.
Revenue Projections Disclaimer: All revenue recovery estimates provided in proposals are based on industry averages and are not guarantees of actual results. Individual results vary based on business volume, responsiveness, and market conditions.
6. Warranties and Disclaimers
AutoPlanCore warrants that the Services will be provided in a professional and workmanlike manner consistent with industry standards. AutoPlanCore does not warrant that the Services will be uninterrupted or error-free. THE SERVICES ARE PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
7. Indemnification
Client agrees to indemnify, defend, and hold harmless AutoPlanCore, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) Client's use of the Services; (b) Client's violation of these Terms; (c) Client's violation of any law or third-party rights; (d) any content or data Client submits through the Services.
8. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida, under its Commercial Arbitration Rules.
CLASS ACTION WAIVER: Client waives any right to participate in a class action lawsuit or class-wide arbitration against AutoPlanCore.
9. Governing Law
These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any court proceedings shall be brought exclusively in Miami-Dade County, Florida.
10. Modifications
AutoPlanCore reserves the right to modify these Terms at any time. Changes will be communicated via email to the address on file with 30 days notice. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.

3. Data Storage and Security
All client data is stored on our VPS infrastructure in Miami, Florida. We implement the following security measures:

- Tailscale VPN — zero-trust network isolation
- Per-client data isolation — your data is in a dedicated, isolated environment
- Automated backups — weekly encrypted backups retained 90 days

4. Data Sharing
We never sell your data. AutoPlanCore does not sell, rent, or trade your personal or business information to any third party for any purpose.
We share data only with:
- Stripe — payment processing (PCI DSS compliant)
- Resend — transactional email delivery
- Telegram — notification alerts (metadata only, no client data)
- Law enforcement — only when legally required by valid court order
5. Data Retention
We retain your data for the duration of your subscription plus 12 months following termination. Upon your written request, we will export all your data in a portable format and permanently delete it from our systems within 30 days, subject to any legal retention requirements.
6. Your Rights

7. HIPAA Considerations
AutoPlanCore is not a HIPAA Business Associate by default. Medical practice clients requiring HIPAA compliance must subscribe to the Sovereignty tier and execute a separate Business Associate Agreement (BAA). Foundation and Operations tier services are not designed for Protected Health Information (PHI) storage.

Client Responsibility: Timelines assume Client provides access to required systems (email, calendar, CRM, file storage) within 24 hours of project start. Delays caused by Client's failure to provide access extend the timeline accordingly.

3. Uptime Commitment
AutoPlanCore commits to 99.5% monthly uptime for all hosted services. Scheduled maintenance windows (communicated 48 hours in advance) and force majeure events are excluded from uptime calculations.
Service credits for downtime exceeding the uptime commitment: 1 day credit per hour of excess downtime, up to a maximum of 30 days credit per month. Credits are applied to the next billing cycle and are Client's sole remedy for uptime failures.
4. Monthly Deliverables
Each month, AutoPlanCore delivers:
- Performance Report — leads captured, proposals sent, hours saved, revenue recovered
- System Health Check — all automations verified working correctly
- AI Accuracy Review — proposal and response quality assessment
- Recommendations — suggested improvements for next month
5. Client Responsibilities
- Provide accurate business information for AI training
- Maintain active email and calendar access for integrations
- Review and approve AI outputs before client-facing deployment
- Respond to AutoPlanCore support requests within 2 business days
- Keep payment information current to avoid service interruption
- Not share AutoPlanCore access credentials with unauthorized parties
6. Change Management
Requests for changes to the deployed system beyond the original scope are handled as follows:
- Minor changes (wording updates, email template edits): Included in monthly maintenance
- Moderate changes (new automation sequences, additional integrations): Quoted separately at $150/hour
- Major changes (new modules, additional industries, new AI models): Require a Change Order and separate agreement
This Acceptable Use Policy defines what you may and may not do with AutoPlanCore services. Violations may result in immediate service termination without refund.
1. Permitted Uses
AutoPlanCore services may only be used for:
- Legitimate business automation for your own business operations
- Communicating with your actual clients and prospects
- Processing documents that you have legal authority to process
- Generating proposals and contracts for your business services
2. Prohibited Uses
The following uses are strictly prohibited and will result in immediate account termination:
- Spam and unsolicited communications: Sending bulk unsolicited emails or messages to people who have not consented to receive them
- Misrepresentation: Using AI to impersonate individuals or businesses without authorization
- Illegal activities: Using the platform to facilitate any illegal activity under federal, state, or local law
- Data harvesting: Scraping, harvesting, or extracting data from third-party systems without authorization
- Circumventing security: Attempting to bypass, hack, or disable any security measure
- Reselling without authorization: Reselling AutoPlanCore services without a written reseller agreement
- Harmful content: Generating or distributing harmful, defamatory, or discriminatory content
- Competitor intelligence: Using AutoPlanCore to analyze or infiltrate competitor systems
- PHI without BAA: Storing Protected Health Information without a signed Business Associate Agreement
3. Email Compliance
All automated email communications sent through AutoPlanCore must comply with:
- CAN-SPAM Act — all commercial emails must include unsubscribe option and physical address
- TCPA — SMS and phone communications require prior express consent
- GDPR — if communicating with EU residents, appropriate legal basis must exist
Client is solely responsible for ensuring compliance with applicable laws governing electronic communications. AutoPlanCore provides tools; Client is responsible for how those tools are used.
4. AI Output Responsibility
AutoPlanCore's AI generates content based on your business data. You are solely responsible for reviewing AI-generated content before sending it to clients. AutoPlanCore is not liable for errors, inaccuracies, or inappropriate content in AI outputs that Client distributes without review.
AutoPlanCore stands behind its work. We offer a straightforward refund policy because we are confident in the value we deliver. If we don't deliver, you don't pay.
1. 30-Day Satisfaction Guarantee
If you are not satisfied with AutoPlanCore within the first 30 days of go-live, we will issue a full refund of your first month's fee and 50% of your setup fee — no questions asked.
To request a refund under this guarantee, send an email to support@autoplancore.com within 30 days of your go-live date. Refunds are processed within 5 business days to your original payment method.
2. Monthly Fee Refunds
Monthly fees are non-refundable after the 30-day guarantee period. If you cancel mid-month, you retain access to services through the end of the paid period. No prorated refunds are issued for partial months after the guarantee period.

4. Annual Plan Refunds
Annual plans are fully refundable within the 30-day guarantee period. After 30 days, annual plans are non-refundable. If you cancel an annual plan after 30 days, you retain access through the end of the paid annual term.
5. Exceptions
No refunds are issued if: (a) termination results from violation of the Acceptable Use Policy; (b) Client has withheld access necessary for deployment; (c) Client has disputed charges in a manner inconsistent with this policy.
This Data Processing Agreement (DPA) describes how AutoPlanCore processes your business data as a data processor on your behalf. This applies to all client data processed through our AI systems.

3. Data Isolation
Each client's data is stored in a completely isolated environment. Your data is not commingled with other clients' data. Database records, file storage, and AI model configurations are maintained separately per client.
4. Data Portability and Deletion
Upon request or upon contract termination:
- Data export provided within 14 days in JSON, CSV, or PDF format
- Complete deletion confirmed within 30 days of export delivery
- Written confirmation of deletion provided upon request
- Backups containing your data purged within 90 days of deletion request
5. Breach Notification
In the event of a data breach affecting your data, AutoPlanCore will notify you within 72 hours of becoming aware of the breach. Notification will include: nature of the breach, categories of data affected, estimated number of records affected, and remediation steps taken.
